Data Services Agreement

Purpose
This agreement describes how MQLooP may process customer data when providing playbook generation, dashboard, CRM, email, and campaign orchestration services.
Customer Instructions
MQLooP processes customer data only to provide the service, follow the customer's documented instructions, maintain security, and meet legal obligations. As between the parties, the customer is the controller of its customer data and MQLooP acts as its processor, and MQLooP personnel authorized to process customer data are bound by confidentiality.
Data Categories
Processed data may include workspace users, company data, lead and campaign metadata, outreach messages, CRM status updates, reply records, and integration configuration.
User-Directed Automation
Some MQLooP features, including an optional browser extension, operate inside the customer's own accounts and authenticated sessions and act only on the customer's documented instructions. The customer is responsible for ensuring that its use of these features complies with the terms, policies, and applicable limits of any third-party platform it connects (for example, LinkedIn). Third-party platforms may restrict, suspend, or terminate accounts or access based on automation or other activity they consider non-compliant. Where such features are enabled, MQLooP may provide usage controls such as activity limits, working-hour windows, and the ability to pause or disconnect, but the customer remains the operator of its own accounts and bears responsibility for that use. These features are made available to a customer only after the customer enables them.
Subprocessors
MQLooP may use infrastructure, email, CRM, advertising, analytics, and AI providers as subprocessors to deliver the service. MQLooP remains responsible for selecting appropriate providers and seeks to bind them to data-protection obligations consistent with this agreement. MQLooP will provide a current list or summary of subprocessors on request and, where required by applicable law or an applicable order, a reasonable opportunity to object to new subprocessors.
Security Measures
MQLooP maintains logical access controls, secret isolation, encrypted transport, backup discipline, and operational safeguards appropriate for an early-stage B2B SaaS product.
Personal Data Breach
If MQLooP becomes aware of a personal data breach affecting customer data, MQLooP will notify the affected customer without undue delay and provide the information reasonably needed to help the customer meet its own notification obligations.
International Transfers
MQLooP and its subprocessors may process customer data in the United States and other countries. Where personal data is transferred across borders, the parties will rely on a lawful transfer mechanism and appropriate safeguards as required by applicable law.
Deletion And Return
Upon request or account closure, MQLooP will delete or return customer data where technically feasible, subject to backups, logs, legal requirements, and abuse-prevention records.
